We have a long-standing expertise in structuring all types of collateral arrangements, as well as advising lenders in debt restructuring and enforcement matters. The depth of our practice allows our clients to benefit from our knowledge of the latest market trends and financing techniques. We work closely with premier global law firms in London, New York, the European Union, and the CIS region.

We have particular expertise in projects in the infrastructure and energy sector, including the financing of sea port terminals, roads, solar and wind parks. This expertise entails all aspects of PPP matters.

  • Advising EBRD on supporting Nibulon with USD 27 million secured financing

Project Finance

  • Advising EBRD in connection with EUR 24 million loan to MHP
  • Advising EBRD in connection with risk sharing instruments provided to ProCredit Bank, OTP Bank, OTP Leasing, Kredobank, Credit Agricole Bank, PrivatBank, Bank Lviv, Raiffeisen Bank, and UkrSibbank
  • Advising EBRD, NEFCO, BSTDB, Proparco, Finnfund, IFU, FMO, Green for Growth Fund and J.P. Morgan Securities Plc (debt coordinator) in connection with a EUR 262 million secured term loan to SyvashEnergoProm to fund the construction of a 250 MW wind power plant near Syvash Lake, in the Kherson Region of Ukraine, one of the largest renewables project financing in Ukraine
  • Advising IFC and EBRD in connection with a USD 74 million senior secured loan to MV Cargo LLC for the greenfield development of an oil and vegetable terminal in Yuzhny seaport in Ukraine
  • Advising China Development Bank in connection with USD 3 billion financing to National Joint Stock Company Naftogaz of Ukraine guaranteed by Ukraine
  • Advising EBRD in connection with a EUR 48 million loan to LLC Novoazovskiy Wind Park aimed at developing a 57.5MV Novoazovsk Wind Farm
  • Advising EBRD in connection with the USD 56 million term secured loan, including USD 8 million tranche funded by the Clean Technology Fund, to be provided to four Ukrainian members of the Kernel Group for the construction of four biomass plants
  • Advising FMO, Green for Growth Fund and Norwegian Guarantee Institute for Export Credits with respect to EUR 37 million financing for the construction, maintenance and operation of a 54MW solar PV plant in Bohuslav, Kyiv region

Restructuring

  • Advising Deutsche Bank, ING, Natixis and UniCredit on the restructuring of over USD 1 billion Metinvest debt
  • Advising Citibank Europe Plc in connection with restructuring of its loan facility for the total amount of USD 88 million previously provided to Rubizhne Cardboard and Packaging Mill (RKTK)
  • Advising SALIC, one of the largest agricultural producers, in connection with acquisition of Mriya amidst massive debt restructuring and insolvency; advice on various debt restructuring and insolvency issues
  • Advising the committee of creditors in connection with the USD 820 million debt restructuring of Public Joint Stock Company “Donetsksteel – Iron and Steel Works”, Ukraine’s largest producer of hard coking coal
  • Advising EBRD in connection with restructuring USD 90 million financing of Interleaseinvest LLC, one of the leading privately-owned providers of rail cargo transportation and freight railcar operating lease services to corporate clients in Ukraine
  • Advising Landesbank Berlin in connection with the restructuring of a EUR 244 million financing provided to Wind Power LLC (part of DTEK Group), guaranteed by EKF, a Danish export credit agency
  • Advising the coordinating committee of lenders in connection with debt restructuring of RUSAL Group in Ukraine
  • Advising FUIB in connection with restructuring a USD 237 million credit facility granted by a group of foreign banks

Trade and Pre-Export Finance

  • Advising Ferrexpo, a leading European producer of iron ore pellets, in connection with a USD 400 million pre-export finance facility
  • Advising UniCredit Bank Austrian AG and ING Bank N.V. in connection with an up to USD 200 million PXF revolving credit facility to Kernel Group
  • Advising Natixis SA in connection with Ukrainian law aspects relating to extension of a USD 210 facility agreement secured, among others, by a pledge over grain commodities stored in various facilities across Ukraine by Kernel
